Client agreement

Version 1.2 · Effective October 30, 2026. This agreement applies to every MapKept plan bought on or after that date. Change from version 1.1: business name only (the service is now called MapKept); nothing else changed.

1. Parties

This agreement is between Zak Taylor, doing business as MapKept ("we"), and the business that signs up ("you"). It's for business clients only. The person accepting it confirms they're authorized to act for the business.

2. We're not Google

MapKept is independent and not affiliated with or endorsed by Google. Google Business Profile is free. Our fee is for our management work. Google explains how to work with a third party here: support.google.com/business/answer/7163406.

3. What each plan includes

Starter ($149/mo): 2 Google posts a week, a drafted reply to every new review, a monthly profile checkup and a monthly report. Plus ($249/mo): Starter, plus a third post each week, drafted answers to customer questions you forward to us based on an answer sheet you approve, and a mid-month note. Anything else needs a written quote.

4. How things get posted

You pick one approval mode, in writing: (a) Drafts only: we send drafts and you post them yourself. (b) Approve then post: we post only after your OK. (c) Opt-in auto-post: routine posts and replies to 4–5 star reviews go up without waiting for your OK. Option (c) needs a separate checkbox, and you can turn it off by email at any time. We never post a reply to a 1–3 star review without your OK. Every item is reviewed by a person at MapKept before it goes up.

5. Your authorization and ownership

Before we manage your profile, you give us written permission to manage it through Google's manager invite. You also give separate written permission before we reply to reviews. You stay the owner of your profile at all times, and we never ask for your password. If you ask us to leave, we'll remove our access and you'll have sole control again within 7 business days. We list every change we make in your monthly report. We tell you within 48 hours of any account-level change, such as adding or removing a manager. We won't throw away edits Google suggests without asking you.

6. Your promises

You own or control the profile and the photos you send us. The facts you give us (hours, prices, services, policies) are true. You hold any licenses your business needs. You won't ask us to break Google's policies or the law.

7. Things neither of us will do

No fake, insider, bought or swapped reviews. No asking only happy customers for reviews, and no incentives for reviews. No pretending to be someone else. No false accusations or threats against reviewers. No stuffing keywords into the business name, and no false addresses. We may refuse any instruction that breaks these rules, or end the service.

8. How we use AI

We draft posts, replies and reports with AI tools under fixed rules. A person reviews each item before it goes up. In approve modes, you're responsible for reviewing what you approve. If a customer asks, the reply is AI-assisted. Any message sent to a customer automatically will say it's automated.

9. Fees, renewal and cancellation

Starter costs $149/month and Plus costs $249/month. You're billed monthly in advance. Your plan renews every month until you cancel. Founding offer: the first 5 clients get Starter at $99/month for the first 3 months (code FOUNDING5), then $149/month. We'll email you 7–21 days before that price change, with a cancel link. Setup costs $0.

How to cancel, at any time, either way: (1) Online: open our billing portal, enter the email you paid with, and click Cancel plan. You can also update your card and see invoices there. (2) By email: send our pre-written cancel email to boltmetta@gmail.com, from any address. You don't need to add anything. Cancellation takes effect at the end of your current paid period, and you won't be charged again. We confirm by email within 1 business day. We don't make retention or "save" offers when you cancel. We don't refund partial months, except as described in section 16 or where the law requires it. We'll give you 7–30 days' notice of any other price change, with how to cancel. After you sign up, we email you a confirmation with these terms and both ways to cancel.

10. No guarantee of results

Google controls rankings, visibility, which reviews show and moderation. We don't promise rankings, calls, revenue, or that Google will accept a post or reply. Google may change or suspend its features at any time.

11. Content and IP

You own your content and give us permission to use it only to provide the service. Final posts and replies belong to you. We keep our own templates and prompts. We won't use your name or results in our marketing without your written OK.

12. Data and privacy

We use your data only to deliver the service. Reviewer information stays in Google: we copy only what a reply needs, and we keep it no longer than needed. We delete your data within 30 days after the service ends, except these records: payment and tax records, and consent and authorization records (checkout consent, the permission form, cancellation). We keep those for 3 years or 1 year after your plan ends, whichever is longer, as the law requires or as needed to prove your authorization. We keep them longer only if tax law or an open dispute requires it, and then we delete them. Deletion covers every copy we hold: Google Sheets and Drive, Gmail, and our AI workspace computer. See the privacy notice.

13. Limit of liability

To the extent the law allows, our total liability is limited to the fees you paid in the 3 months before the claim. We're not liable for indirect or lost-profit damages. This limit doesn't apply to fraud or willful misconduct.

14. Indemnity

You'll cover claims that come from your content, instructions, facts, licenses or reviews. We'll cover claims that come from our own willful violation of Google's policies, up to the limit in section 13.

15. Term and ending

The service runs month to month, and either of us can end it by email. We can pause the service right away if a prohibited act happens, or if Google sends an enforcement notice. Either way, we remove our access within 7 business days.

16. Law and acceptance

California law governs this agreement. Disputes go to the state or federal courts located in Santa Barbara County, California, and small claims court is available. You accept this agreement at checkout, by ticking the box that says you agree to it, including the monthly renewal. Stripe records that consent. Right after payment you complete our written permission form, which confirms your acceptance and gives the Google permissions we need. We log the version and time. We don't touch your profile until the form is complete. If the permission form isn't completed within 14 days of payment, we'll cancel your plan and refund your first payment. If you don't accept this agreement, or you cancel before we start work on your profile, we'll refund your first payment in full within 5 business days. Email boltmetta@gmail.com or use the billing portal.
